An advisor agreement outlines aspects of the relationship between a company and an advisor brought on to offer expertise. Questions often arise in this relationship regarding compensation and how much equity companies should offer an advisor. This agreement addresses the details of the offered equity, the roles the advisor will be expected to play, and the rights the advisor will have vis-à-vis the company. An advisor agreement also contains an outline of the services the advisor is expected to provide, the length of the time the advisor will work with the company, termination rights, and guidelines for compensation and expense reimbursement. Lastly, advisor agreements include confidentiality/nondisclosure provisions or are delivered with separate confidentiality/nondisclosure agreements to be entered into at the same time. Collectively, these agreements and guidelines emphasize that the advisor is not granted any rights to the intellectual property of the company and minimizes the potential for conflicts.
