A “cap table” is a spreadsheet or chart that sets forth the dollar amount of capital invested and equity ownership stakes in a company. The table lists the names of all equity holders of the company along with their respective ownership of all the issued equity securities, including common equity interests, preferred equity interests, and equity options, as well as the prices paid by such equity holders for these securities. The table uses these details to show ownership on a fully diluted basis, which enables a reader to assess the company’s overall capital structure quickly. The most basic versions of such tables list the company’s securities and the owners of those securities while more complex cap tables can include formulas for ownership following certain hypothetical transactions affecting company capitalization.
