The organizational resolutions of the board of directors completes the initial organizational arrangement of a corporation by appointing the officers and authorizing the issuance of shares to stockholders, among other things. The organizational resolutions of the board of directors ratify previous acts by the sole incorporator and may be used in lieu of a formal meeting of directors. The document also resolves actions of the corporation such as authorizing the payment of initial corporation expenses, adopting the corporate seal, setting the corporation’s fiscal year, and authorizing officers of the corporation to designate banks as depositories of the corporation’s funds.
