A subscription agreement is an agreement in which an investor subscribes to purchase a specific principal amount of convertible notes or number of equity securities at a certain price. The subscription agreement is also that investor’s agreement to pay that price for the notes or equity securities. The subscription agreement is useful during the negotiation process, as well as after because it protects both parties by setting forth the terms of the agreement. The subscription agreement includes the investment details, the amount of the investment, agreement regarding the subscription price, the principal amount of notes or number of equity securities to be issued, the rights associated with the subscription, and the terms for termination before closing.
