Under the Corporate Transparency Act (CTA), entities formed or registered to do business in the United States before January 1, 2024, are required to file initial beneficial ownership reports with the U.S. Department of Treasury’s FinCEN by January 1, 2025. With the deadline looming, it is important not only for businesses to understand if they are required to file or if they are exempt from doing so, but also the steps they must take to ensure they are not exposed to potential civil and criminal penalties.

 

Larry Laubach, Daniel Levine, and Greg Patton will discuss what businesses need to know in order to comply with the Corporate Transparency Act.

  • Who is required to report and who is exempt from reporting
  • Exemption issues
  • Who is considered a beneficial owner and what information must be reported
  • Requirements for dissolved entities
  • Steps reporting entities should take now
